Terms of Use - Professionals - BeeLibli
*Courtesy translation. The French version prevails in case of discrepancy.*
1. Preamble, definitions and acceptance
These terms (the "Pro Terms") form the contract between Beelibli Inc. ("BeeLibli", "we", "us"), Suite 220, 4820 Chemin de la Côte-Sainte-Catherine, Montréal (Québec) H3W 1M3, NEQ 2423526523, and you, the professional who signs up on the BeeLibli Platform (the mobile application and the website). They are in addition to the Privacy Policy and the Clients' Terms of Use.
By submitting your application, creating a Pro account or accepting a Request, you confirm that you have read the Pro Terms and accept them, on behalf of your business if you act for it. If you do not agree, do not use the Platform.
Definitions
2. Your independent status and BeeLibli's role
You are independent. You act on your own behalf, at your own risk and for your own account. The Pro Terms create no employment, partnership, joint venture, franchise or agency relationship between you and BeeLibli, except for the limited payment mandate described in section 5.
You keep control of your work. You decide:
BeeLibli gives you no instructions on how to perform your work and imposes no uniform, schedule or minimum volume of work.
BeeLibli's role. BeeLibli is a technology platform that connects people and a payment agent. We are not a construction or renovation contractor, we do not perform or supervise any Service, and we are not a party to the Service Contract. You alone are responsible to the Client for the performance, quality and compliance of your work.
3. Eligibility, licences, insurance and verification
Eligibility. To be registered and to remain so, you declare and warrant that:
Insurance. You maintain in force, at your own expense, commercial general liability insurance of at least $1,000,000 ($2,000,000 for electrical, plumbing, gas and heating work) per occurrence, suited to your work, as well as any other insurance or bond required by law. You provide proof on request.
Documents and verification. At sign-up, you provide your licence numbers and the documents we request. We reasonably validate this information against public registers (RBQ, CMEQ, CMMTQ) and may refuse or remove a registration. This validation is done for Clients' trust. It does not make us responsible for the quality of your work and does not replace your obligation to keep your licences in good standing.
Updates. You notify us without delay of any change affecting your licences, insurance or eligibility (suspension, non-renewal, complaint, sanction). We may request up-to-date documents at any time.
4. Requests, contract with the Client, price and invoicing
Requests and provisional quote. You receive the Requests that match your profile. You may accept or decline them. If you accept, you send the Client a provisional quote, based on their description and presented as an estimate: it binds neither the Client nor you. If the Client accepts it, they book an appointment with you in the application. You may include in the provisional quote travel and assessment fees, due only if the Client then declines the final quote after your visit.
Arrival and verification code. On the day of the appointment, you signal your departure in the application. When you arrive, the Client asks you for the code: you give it to them and they enter it in their account. You do not enter the Client's home and you do not start anything until the code is validated. This step protects the Client and you.
Diagnosis and final quote. Once the code is validated, you examine the problem and submit to the Client, in the application, a firm, detailed final quote.
Service Contract. The Service Contract is entered into directly between you and the Client when they accept the final quote. BeeLibli is not a party to it. You alone are answerable to the Client for the performance of the Services, the permits required, the legal warranties (Civil Code of Québec, Consumer Protection Act) and the redoing of defective work.
Free pricing. You freely set the Service Price. BeeLibli does not set it, cap it or negotiate it for you. The price you display must be clear, complete and include applicable taxes. You take the Commission into account in your price.
Changes. After the final quote is accepted, any change in price or scope of work must be proposed to the Client and confirmed by them in the Platform before it is carried out. An unconfirmed amount cannot be paid through the Platform.
Invoicing. You invoice the Client directly, in your own name and with your own tax numbers (GST and QST if you are registered). The Service Price is income that belongs to you. BeeLibli issues no invoice for your work. You remain solely responsible for your tax filings, your contributions and your obligations to the CNESST and Revenu Québec.
5. Payment, Commission and payout
Commission. In exchange for access to the Platform, the introductions and the payment service, you pay BeeLibli a Commission on each Service paid through the Platform. The Commission rate is shown in your Pro space, and the net amount you will receive is displayed before you accept each Request. The Commission is all-inclusive: it includes payment processing fees, so that BeeLibli is your single point of contact for your payments and you have no other transaction fees to pay on a Service paid through the Platform, subject to section 8. It is owed by you alone and is not added to the price shown to the Client.
Payment mandate. You authorize us, for this purpose only, to receive the Client's payment in your name, hold it, withhold the Commission from it and pay you the balance. The Client's payment to BeeLibli discharges the Client's obligation for the Service Price, up to the amount paid.
Payment and funds held for 48 hours. The Client pays nothing before the final quote. They pay when they accept the final quote, before the work begins. The funds are held securely and are not paid to you during the work. When you declare the work complete in the Platform, the Client has 48 hours to confirm or report a problem. If nothing is reported, the funds, less the Commission, are paid to you at the end of that period. If a problem is reported, the payout is suspended during the review described in section 8.
Payout. Payouts are made to the bank account you registered in the application. To receive them, you must complete the identity verification required by regulation and accept the terms of our payment provider, which apply to the management of your payout account. We are not responsible for delays, holds or refusals imposed by that provider or by your financial institution.
Taxes on the Commission. GST and QST are added to the Commission when they are payable. BeeLibli provides you with a statement of your transactions and Commissions for your accounting needs.
Set-off. We may deduct from any future payout the amounts you owe us, notably a refund to a Client, a chargeback or an unpaid Commission.
6. No circumvention of the Platform
BeeLibli invests in making introductions. In return, you agree not to use the Platform to obtain a Client and then avoid the Commission by having them pay outside it.
If you breach this section, we may claim the unpaid Commission, suspend or close your account, and deduct the amounts owed from your payouts, without prejudice to our other remedies.
7. Your obligations and conduct
You agree to:
Subcontractors and employees. If you entrust work to a subcontractor or employee, you remain fully responsible for them to the Client and BeeLibli, and you ensure they are qualified and insured.
Prohibited conduct. You must not create fake accounts, post fake reviews, harass a Client or another Professional, or attempt to disrupt the Platform or extract its content by automated means.
Messaging and monitoring. Your exchanges with the Client take place in the Platform's messaging. To protect both parties, BeeLibli monitors, and may record and review, these exchanges (messages, photos, attachments), by automated means and by authorized members of its team. This monitoring is used to prevent fraud, harassment and abuse, to check compliance with the Pro Terms (including section 6), to ensure the safety of people and to document a dispute. By using the messaging, you consent to this monitoring, and you inform your employees and subcontractors who use it on your behalf. Do not exchange information unrelated to the Service there. Exchanges are kept in accordance with our Privacy Policy.
8. Disputes, refunds and suspension
Dispute with a Client. If a Client reports a problem, we notify you and invite you to resolve it directly with them. During the review, we may suspend the payout of the funds concerned. You provide us, within 3 business days, with the relevant photos, messages and documents.
Facilitation decision. In light of the file, we may, in a reasonable manner, propose an amicable solution, pay the funds to the Professional, refund them to the Client in whole or in part, or request that the work be redone. This decision is a facilitation service. It does not replace the courts, and each party may then assert their rights.
Cancellation or no-show on your part. If you cancel an accepted appointment without valid reason, or if you do not show up within 30 minutes of the agreed time without notice, the Client is not charged any amount and, if they had already paid, they are refunded in full. You are then not entitled to any cancellation or travel fees. Repeated cancellations, no-shows or delays may lead to suspension of your account.
Chargebacks. If a bank reverses or disputes a payment, we may withhold or recover the amount concerned, including fees imposed by the payment provider, from your current or future payouts, or claim reimbursement from you.
Suspension and removal. We may suspend or remove your account, with notice where possible, in the following cases: expired or suspended licence, fraud, serious complaint, danger to people, repeated very low ratings, circumvention of the Platform or breach of the Pro Terms. In other cases, we give you reasonable notice.
9. Liability, indemnification and insurance
Your liability. You alone are answerable for damage caused to the Client, their property or third parties by your Services, by your acts or omissions and by those of your employees and subcontractors.
Indemnification. You indemnify BeeLibli, its directors, officers and employees, and hold them harmless against any claim, loss, cost and expense (including reasonable legal fees) arising from:
Platform. The Platform is provided "as is". We guarantee no volume of Requests, no income and no uninterrupted operation.
BeeLibli's limit of liability. To the extent permitted by law, BeeLibli is not liable for indirect damage (loss of profits, loss of opportunities, loss of data), and its total liability to you is limited to the Commissions you paid us in the 12 months preceding the event. This limit does not apply in case of gross or intentional fault, or to rights that the law does not allow to be restricted.
Insurance. Your liability insurance is your primary protection. BeeLibli does not insure your work, your tools or your person.
10. Content, intellectual property and personal information
Your profile and content. You remain the owner of your photos, descriptions, logo and completed projects. You grant us a non-exclusive, royalty-free licence, limited to Canada, to display them in the Platform and in our promotional communications related to the Platform, for the life of your account and afterwards for reasonable archival purposes. You declare that you have all necessary rights in this content and that you post no photo showing a third party without their consent.
Reviews and ratings. Client reviews are published by BeeLibli. You may not buy them, alter them or request their removal without valid reason, for example unlawful content.
BeeLibli's intellectual property. The Platform, the BeeLibli brand, logos, design and code belong to BeeLibli or its licensors. We grant you a personal, non-exclusive, non-transferable right of use for the life of your account.
Clients' information. You receive a Client's name, address, contact details and description of the need only to perform the requested Service. You must:
Your own information. We handle your information, including your licence documents and payout banking data, in accordance with our Privacy Policy.
11. Term, termination and general provisions
Term. The Pro Terms apply upon your acceptance and last until your account is closed.
Termination by you. You may close your account at any time, after completing the Services accepted and in progress. Funds owed to you are paid according to section 5.
Termination by BeeLibli. We may end your account under section 8, or without cause with 30 days' notice. On closure, Services already accepted are completed or cancelled in an orderly manner, and amounts owed by each side are settled.
Changes. We may change the Pro Terms, including the Commission rate. We notify you at least 30 days before the effective date, by email or in the application. A change does not apply to Services already confirmed. If you refuse, you may close your account before the effective date.
Governing law and courts. The Pro Terms are governed by the laws of Québec and the federal laws of Canada that apply. Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Montréal.
Language. The parties have expressly required that the Pro Terms be drafted in French. An English version may be provided as a courtesy, and the French version prevails in case of discrepancy.
Miscellaneous. If a provision is found invalid, the others remain in force. You may not assign the Pro Terms without our consent. BeeLibli may assign them to a group company or to an acquirer of its business. The Pro Terms, the Privacy Policy and the Clients' Terms of Use form the entire agreement between us regarding the Platform.
